By accessing taloshub.io or engaging TalosHub services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.

Services Description

TalosHub provides manufacturing data capture, structuring, packaging, and delivery services for robotics and industrial AI applications. Specific deliverables, timelines, pricing, and terms for each engagement are defined in individual service agreements or statements of work executed between TalosHub and the client.

Intellectual Property

• All website content, design, branding, and materials on taloshub.io are the property of TalosHub and protected by applicable intellectual property laws.
• Client deliverables (task packs) are governed by the terms of the applicable service agreement signed between the parties.
• White-labeled deliverables transfer usage rights to the client as specified in the engagement agreement. TalosHub retains no claim over data delivered under a white-label arrangement.

Client Obligations

• Clients are responsible for providing accurate and complete information regarding project requirements, machine types, and workflow parameters.
• Clients must ensure they have proper authorization and legal rights to permit TalosHub to access their facilities, equipment, and personnel for data capture purposes.
• Clients agree to use delivered datasets in compliance with all applicable laws, regulations, and third-party agreements.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, trade secrets, and sensitive data shared during engagements. Specific confidentiality terms, including duration and scope, are outlined in individual service agreements or non-disclosure agreements executed prior to engagement.

Limitation of Liability

• TalosHub provides its website and services on an "as is" and "as available" basis without warranties of any kind, express or implied.
• To the maximum extent permitted by applicable law, TalosHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website.
• Our total aggregate liability for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you for the specific services giving rise to such claim in the three months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold TalosHub and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law or regulation.

Termination

Either party may terminate a service engagement as specified in the applicable service agreement. TalosHub reserves the right to restrict or terminate access to the website at its discretion for violation of these Terms, without notice and without liability.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of courts located in New York, NY for any disputes arising under these Terms.

Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in New York, NY, under the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding.

Modifications

We reserve the right to modify these Terms of Service at any time. Updated terms will be posted on this page with a revised date. Your continued use of our website or services after changes are posted constitutes your acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
